These Terms of Service (“Terms”) govern access to and use of the website www.aidentx.com and the platforms AssessX and IGAX (collectively, the “Services”), operated by AIdentX (“AIdentX”, “we”, “our”, or “us”). By accessing or using the Services, you agree to be bound by these Terms.
If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
The Services
AIdentX provides AI-native identity security platforms designed for enterprise use. AssessX can be a self-service, AI-native Identity and Access Management (IAM) assessment platform that enables users to evaluate IAM maturity, risks, and gaps while having option for human interviews. IGAX is an AI-native Identity Governance and Administration platform that enables identity lifecycle management, access governance, compliance, and related security controls.
AssessX and IGAX are separate platforms. Any integration between them is optional and enabled only by customer configuration.
Eligibility and Authorized Use
The Services are intended solely for business and enterprise use. You must be at least 18 years old and legally capable of entering into binding agreements to use the Services. You agree to use the Services only for lawful purposes and in accordance with these Terms and all applicable laws and regulations.
You are responsible for ensuring that all users accessing the Services under your account comply with these Terms.
Accounts and Access
Access to certain parts of the Services requires the creation of an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You must promptly notify AIdentX of any unauthorized access or security incident related to your account.
AIdentX reserves the right to suspend or terminate access to the Services if we reasonably believe there has been unauthorized use, a security risk, or a violation of these Terms.
Customer Data
You retain all rights, title, and interest in the data you submit to the Services (“Customer Data”). AIdentX processes Customer Data solely to provide, maintain, and improve the Services, in accordance with these Terms and our Privacy Policy.
You represent and warrant that you have all necessary rights, permissions, and legal bases to submit Customer Data to the Services. AIdentX does not monitor or verify the accuracy or legality of Customer Data and is not responsible for its content.
AI and Automated Processing
The Services use AI-native and automated processing to deliver functionality, including assessment analysis, governance insights, and risk-related recommendations. Outputs generated by the Services are intended to support decision-making and do not constitute legal, regulatory, or professional advice. Responsibility for decisions made based on Service outputs remains solely with the customer.
Customer Data is not used to train public or third-party AI models and is not shared across customers.
Security and Availability
AIdentX implements reasonable technical and organizational measures designed to protect the security, confidentiality, and integrity of the Services and Customer Data. While we strive to maintain high availability, the Services are provided on an “as is” and “as available” basis, and uninterrupted or error-free operation is not guaranteed.
AIdentX may perform maintenance, updates, or modifications that may temporarily affect availability.
Fees and Subscription Terms
Certain Services may be provided on a subscription, trial, or paid basis. Fees, billing terms, and subscription details will be specified in an applicable order form, statement of work, or agreement between you and AIdentX. Unless otherwise stated, fees are non-refundable.
AIdentX reserves the right to modify pricing with prior notice, subject to applicable agreements.
Intellectual Property
All intellectual property rights in the Services, including software, algorithms, models, documentation, and branding, are owned by or licensed to AIdentX. Except for the limited right to use the Services in accordance with these Terms, no rights are granted to you.
You may not copy, modify, distribute, reverse engineer, or create derivative works of the Services except as expressly permitted by law or agreed in writing.
Copyright and Trademarks
All content made available through the website www.aidentx.com and the Services, including but not limited to text, graphics, logos, icons, user interfaces, software, code, algorithms, models, reports, assessments, workflows, and documentation, is owned by or licensed to AIdentX and is protected by applicable copyright, trademark, and other intellectual property laws.
The names AIdentX, AssessX, IGAX, and all related logos, product names, service names, and branding elements are trademarks or registered trademarks of AIdentX. You may not use, reproduce, display, distribute, or modify any AIdentX trademarks without prior written consent.
Nothing in these Terms grants you any right, title, or interest in or to AIdentX’s intellectual property, except for the limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms. Any unauthorized use of AIdentX intellectual property is strictly prohibited and may result in legal action.
All third-party trademarks, service marks, or logos referenced in the Services are the property of their respective owners and are used for identification purposes only.
Confidentiality
Each party agrees to protect the other party’s confidential information using reasonable care and to use such information solely for purposes related to the Services. Confidential information does not include information that is publicly available, independently developed, or lawfully obtained from a third party without restriction.
Third-Party Services
The Services may integrate with or reference third-party services. AIdentX is not responsible for third-party services, their availability, or their terms. Your use of third-party services is governed by their respective terms and policies.
Suspension and Termination
AIdentX may suspend or terminate access to the Services if you breach these Terms, fail to pay applicable fees, or use the Services in a manner that poses a security or legal risk. Upon termination, your right to access the Services will cease. Provisions that by their nature should survive termination shall survive, including intellectual property, confidentiality, disclaimers, and limitation of liability.
Disclaimers
The Services are provided without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, or non-infringement. AIdentX does not warrant that the Services will meet your specific requirements or that outputs will be complete, accurate, or error-free.
Limitation of Liability
To the maximum extent permitted by law, AIdentX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to the use of the Services. AIdentX’s total liability under these Terms shall not exceed the fees paid by you to AIdentX for the Services during the twelve months preceding the event giving rise to the claim.
Indemnification
You agree to indemnify and hold harmless AIdentX from any claims, damages, losses, or expenses arising out of your use of the Services, your Customer Data, or your violation of these Terms or applicable laws.
Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the applicable jurisdiction specified in your agreement with AIdentX or, if none is specified, the laws of the jurisdiction in which AIdentX is incorporated. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.
Changes to the Terms
AIdentX may update these Terms from time to time. Updated Terms will be posted on this page with a revised “Last Updated” date. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
